1. About These Terms

These Terms of Service (“Terms”) govern your use of the YourTradeQuotes platform and website at yourtradequotes.com (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms.

YourTradeQuotes.com is a trading name of Cumulus Digital Ltd (“we”, “us”, “our”). References to “you” or “your” refer to the individual or business using the Service.

If you do not agree to these Terms, please do not use the Service.

2. Eligibility

To use YourTradeQuotes, you must:

• Be at least 18 years of age.
• Be using the Service for lawful trade or business purposes in the United Kingdom or another permitted jurisdiction.
• Provide accurate, complete and up-to-date registration information.

We reserve the right to refuse access or terminate accounts where eligibility requirements are not met.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@yourtradequotes.com if you suspect any unauthorised use of your account.

You may not share your account with others or create multiple accounts to circumvent any restrictions or trial limits.

4. Free Trial

We offer a free trial period to allow you to evaluate the Service. During the trial:

• No payment card is required to begin the trial.
• Full access to the Service’s features is provided for the duration of the trial period.
• At the end of the trial, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your access will be suspended.

We reserve the right to modify or discontinue the free trial offer at any time.

5. Subscriptions and Payment

Paid subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. All prices are shown exclusive of VAT unless otherwise stated.

Payments are processed securely by Stripe. By providing payment details, you authorise us to charge your chosen payment method on a recurring basis until you cancel your subscription.

We reserve the right to change subscription prices with at least 30 days’ notice. Price changes will take effect at the start of your next billing period.

6. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at hello@yourtradequotes.com.

Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods unless required by law. If you cancel within the free trial period, you will not be charged.

Consumers (individuals acting outside of a trade or business) have a statutory right to cancel within 14 days of purchase under the Consumer Contracts Regulations 2013. To exercise this right, please contact us within 14 days.

7. Acceptable Use

You agree not to use the Service to:

• Upload or transmit any content that is unlawful, harmful, abusive, defamatory or fraudulent.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure.
• Use automated tools, bots or scrapers to access or extract data from the Service without our prior written permission.
• Violate any applicable law or regulation, including data protection and anti-spam laws.

We reserve the right to suspend or terminate your account immediately if you breach these acceptable use requirements.

8. Your Data

You retain ownership of all data you upload or enter into the Service, including customer records, quotes, jobs and invoices (“Your Data”).

You grant us a limited licence to store, process and display Your Data solely for the purpose of providing the Service to you.

You are responsible for ensuring that any customer data you enter into the platform is collected and processed lawfully, and that your customers have been informed as required by UK GDPR. You are the data controller for your customers’ data; we act as a data processor on your behalf.

On cancellation of your account, you may request an export of Your Data within 30 days. After this period, we reserve the right to delete Your Data from our systems, subject to any legal retention obligations.

9. Intellectual Property

The YourTradeQuotes platform, including its software, design, trademarks, and all content we create, is owned by Cumulus Digital Ltd and is protected by intellectual property law. You may not copy, modify, distribute or reverse-engineer any part of the Service without our express written consent.

10. Service Availability

We aim to provide a reliable service but cannot guarantee uninterrupted availability. We may carry out scheduled or emergency maintenance from time to time, which may result in temporary unavailability. We will endeavour to provide advance notice of planned maintenance where possible.

We are not liable for any loss arising from temporary downtime, data loss caused by third-party infrastructure failures, or service disruptions outside our reasonable control.

11. Limitation of Liability

To the fullest extent permitted by law, Cumulus Digital Ltd shall not be liable for:

• Any indirect, incidental, special or consequential losses.
• Loss of profit, revenue, business or goodwill.
• Loss or corruption of data.
• Any claims arising from your use of the Service in breach of these Terms.

Our total aggregate liability to you in connection with these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

12. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), Google (analytics), QuickBooks and Xero (accounting). Your use of these integrations is also subject to those providers’ own terms and privacy policies. We are not responsible for the availability or practices of third-party services.

13. Changes to the Service

We may update, modify or discontinue features of the Service at any time. Where changes are material, we will provide reasonable notice. Your continued use of the Service after any changes constitutes your acceptance of the updated Service.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 14 days before they take effect. If you continue to use the Service after the effective date, you accept the updated Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
